Likendeals Business Agreement

General Terms: 

Welcome to Likendeals Services & Business Solutions, a suite of optional merchant services including Selling on Likendeals, Fulfilment by Likendeals and Likendeals Advertising. 
THIS AGREEMENT CONTAINS THE TERMS AND CONDITIONS THAT GOVERN your ACCESS TO AND USE OF THE SERVICES THROUGH A PARTICULAR ACCOUNT OR ACCOUNTS AND IS AN AGREEMENT BETWEEN YOU OR THE BUSINESS YOU REPRESENT ("YOU") AND LIKENDEALS SELLER SERVICES PRIVATE LIMITED. BY REGISTERING FOR OR USING THE SERVICES, YOU (ON BEHALF OF yourSELF OR THE BUSINESS YOU REPRESENT) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT, INCLUDING THE SERVICE TERMS AND PROGRAM POLICIES FOR EACH SERVICE YOU REGISTER FOR OR USE IN CONNECTION WITH THE Likendeals SITE.

As used in this Agreement, "we",  "us", and "Likendeals" means the Likendeals the company named in the applicable Service Terms. If there is any conflict between these General Terms and the applicable Service Terms and Program Policies, the General Terms will govern and the applicable Service Terms will prevail over the Program Policies.

Membership Eligibility

Full access to the website is available to the person who is 18 years above who can form legally binding contracts with Likendeals. The site is not available to persons whose membership has been suspended or terminated by Likendeals. 

Your Account and Registration Obligations

If You use the Platform, you shall be responsible for all activities that occur under your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current, or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with this Terms of Use, we shall have the right to indefinitely suspend or terminate or block access of your membership on the Platform and refuse to provide you with access to the Platform. 
Your mobile phone number and/or e-mail address is treated as your primary identifier on the Platform. Hence up to date on the Platform at all times. You agree to notify us if your mobile phone number or e-mail address changes by updating the same on the platform through a one-time password verification.

Registration 

You must complete the registration process for one or more of the Services. Use of the Services is limited to parties that can lawfully enter into and form contracts under applicable law. As part of the application, you must provide us with your business legal name, address, phone number, e-mail address, applicable tax registration details as well as any other information we may request. Any personal data you provide to us will be handled in accordance with Likendeals Privacy. 

GST

GST is mandatory. In case, if you don’t have GST, a one-month time period will be given to you for applying. If you don’t apply you will be notified once. Then too not applied, Likendeals holds the right to suspend or terminate your account. 

Communications

When you use the platform or send emails or other data, information or communication to us, you agree and understand that You are communicating with us through electronic records and you consent to receive communications via electronic records from us periodically and as and when required. We may communicate with you by email or by such other modes of communication, electronic or otherwise.

Charges

Membership on the platform is free for Sellers. Likendeals does not charge any fee for browsing and Selling on the Platform. As a seller, you will not be liable to pay any of the charges in the future.

Machine Learning Platform

Likendeals is a Machine Learning Platform. The system will automatically sort your product for customers according to your product price. We have Multiple sellers of various/ multiple products. If the dealer price of the product is not reasonable to customers, Likendeals is not responsible for the low sale rate. For more sales, Likendeals request you to grant the best dealer price. 

Payments

For the Likendeals site that you register for or use a Service in connection with, we may require you to submit valid credit card information from a credit card acceptable by Likendeals (with respect to such Likendeals Site, "your Credit Card") as well as valid bank account information for a bank account in your name that is with a bank located within India and enabled for your account. At Likendeals, all payments to you will be made at the end of the day to your Bank Account, via electronic transfers or other means as specified by us. You agree that Likendeals shall not be liable for any failure to make payments to you on account of incomplete or inaccurate information provided by you with respect to your Bank Account. 

Confidentiality and Personal Data 

During the course of your use of the Services, you may receive Confidential Information. You may not use any customer's personal data (including contact information) for any purpose other than fulfilling orders or providing customer service in connection with a Service. Generally, you may not use such data in any way inconsistent with applicable law.

Selling

As a registered seller, you are allowed to list item(s) for sale on the platform in accordance with the Policies which are incorporated by way of reference in this Terms of Use. All listed items must be kept in stock for successful fulfillment of sales. The listing description of the item must not be misleading and must describe the actual condition of the product. If the item description does not match the actual condition of the item, you agree to replace that you may have received from the Buyer. You agree not to list a single product in multiple quantities across various categories on the Platform. Likendeals reserves the right to delete such multiple listings of the same product listed by you in various categories.

Trademark, Copyright and Restriction

All material on this site, including images, illustrations, audio clips, and video clips, is protected by copyrights, trademarks, and other intellectual property rights. You must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and You must not assist any other person to do so. If done so, Legal action will be taken against you. 

Contents Posted on Platform 

The user shall not write or send any content to Likendeals that is detracting, obscene, pornographic, profane, threatening, or unlawful material in our forums or our user feedback sections. If done so, Likendeals holds the right to suspend or terminate the membership and Legal action will be taken against you. 

Modification

We will provide at least 15 days’ advance notice in accordance with law if any product is banned. However, we may change or modify the Products with immediate effect to restrict products or activities that we deem unsafe, inappropriate, or offensive. If any change is unacceptable to you, you agree not to use the Services. 

Fake Calls and Other Similar Phishing

Likendeals employees or authorized representatives will never contact a user asking for his/ her credit or debit card number, expiry date, CVV, net banking login, passwords, OTP, etc. nor will they ever request for a fund transfer to a person or an individual bank account. Further, they will also not ask a user to install any third-party applications that enable them to view a user's mobile or computer screen.

 Real-Time Stock Updates: Sellers must update inventory levels in real-time to avoid overselling or stock-outs. Products found unavailable post-order may result in penalties. Stock Minimums: Sellers must maintain a minimum inventory level for high-demand products to ensure consistent availability for the 1-hour delivery promise.

Product Quality and Packaging

Quality Assurance: All products must meet the quality standards set by Likendeals. Substandard or defective products will result in account suspension or termination. Secure Packaging: Sellers must ensure that items are packaged securely to prevent damage during transportation. Labeling Requirements: All packages must include clear labeling with product details, seller information, and delivery instructions.

Delivery Commitment

Adherence to Delivery Timelines: Sellers must ensure that products are ready for pickup within 30 minutes of order confirmation for 1-hour delivery. Non-compliance may result in order cancellations or penalties. Replacement Orders: For replaceable items, sellers must prioritize restocking or replacement dispatch to meet the 24-hour replacement timeline.

Returns and Refunds

Return Policy Compliance: Sellers must honor Likendeals’ return policies, including processing returns promptly and ensuring refunds or replacements are initiated within 48 hours. Inspection of Returned Goods: Sellers are required to inspect returned products for damage or use before issuing refunds or replacements. Reverse Logistics: Likendeals will facilitate reverse logistics, but sellers will be responsible for associated costs in case of product defect or incorrect order fulfillment.

Seller Performance Metrics

Order Fulfillment Rate: Sellers must maintain an order fulfillment rate of 98% or higher. Frequent cancellations or delays may lead to account review or suspension. Customer Ratings: Sellers with consistently low ratings (below 3 stars) over three months will be required to undergo performance improvement plans or risk account suspension.

Prohibited Products

Restricted Items: Sellers are prohibited from listing items that are illegal, unsafe, or do not comply with local laws. A comprehensive list of banned items will be provided. Product Categories: Likendeals reserves the right to restrict certain product categories from being listed based on operational feasibility.

Fraud Prevention

Verification Checks: Sellers must pass all verification checks, including business registration, identity verification, and bank account validation, before being allowed to sell on the platform. Misrepresentation: Sellers found misrepresenting product details, pricing, or origin will be penalized, including removal of the product listing.

Advertising and Promotions

Compliance with Campaign Guidelines: Sellers participating in Likendeals' advertising or promotional campaigns must adhere to all campaign-specific guidelines, including price discounting and inventory requirements. Discount Management: Likendeals reserves the right to feature sellers' products in promotional campaigns based on competitive pricing and customer demand.

Conflict Resolution

Dispute Handling: Likendeals will mediate disputes between customers and sellers. Sellers agree to abide by the resolution provided by Likendeals.Arbitration Clause: In case of unresolved disputes, sellers agree to binding arbitration under local laws.

Compliance with Local Regulations

Legal Compliance: Sellers must ensure that all listed products comply with applicable laws, including labeling, safety, and consumer protection regulations. GST Filing: Sellers are responsible for timely GST filings. Non-compliance may result in account suspension.

Data Protection

Data Security: Sellers must ensure that customer data obtained through Likendeals is securely stored and not misused. Data Retention: Sellers must delete all customer data after the order fulfillment process is complete unless otherwise authorized.

Training and Support

Mandatory Training: New sellers must complete a training module provided by Likendeals to understand the platform’s policies and operational standards. Seller Support: Likendeals will provide dedicated support to help sellers improve performance and resolve technical or operational issues.

Termination Policy

Account Termination: Likendeals reserves the right to terminate accounts with repeated policy violations, poor performance metrics, or fraudulent activities. Exit Procedure: Sellers must clear all dues and settle pending returns or disputes before account closure.
